You can disable both in the registry:

Delete the value of WAV (\windows\STARTUP_422.wav) in HKLM\SOFTWARE\HTC\Startup

Delete the value of WAV (\windows\STARTUP_422.wav) in HKLM\SOFTWARE\HTC\Shutdown
